David's Bridal Spins Off Digital Arm in $350 Million SPAC Deal

CION Investments, the primary stakeholder in David's Bridal, is set to anchor the deal by contributing $25 million toward a $75 million private investment in public equity. Under the proposed structure, Pearl will assume ownership of the David's Bridal brand and its intellectual property portfolio. The move aims to accelerate growth across both digital channels and retail locations, with the latter expected to maintain standard operations.

Chief Executive Kelly Cook is slated to lead Pearl following the close of the transaction. The companies pointed to Cook’s background at firms like Continental Airlines and DSW Designer Shoe Warehouse as evidence of her capability to drive strategy in rapidly shifting markets. David's Bridal traces its roots back to a single Florida salon opened in 1950, a legacy that will now intersect with the company's public-market ambitions.
